Versoll Books

1. INTRODUCTION

Welcome to Versoll Books, an offline accounting software developed and operated by Versoll ("Company", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of Versoll Books software, including all features, functionalities, tools, content, and services provided through the application (collectively, the "Software").

By installing, accessing, or using Versoll Books, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree with these Terms, you must not install, access, or use the Software.

2. ELIGIBILITY AND ACCEPTANCE

2.1 You may use Versoll Books only if you are legally capable of entering into a binding agreement under applicable Indian laws.

2.2 By using the Software, you represent and warrant that:

  • You are using the Software for lawful business or professional purposes
  • You have authority to manage financial and accounting data
  • You will comply with all applicable laws, regulations, and accounting standards

3. SCOPE OF THE SOFTWARE

3.1 Versoll Books is an offline accounting and financial management tool designed to:

  • Record and track financial transactions
  • Manage accounts payable and receivable
  • Generate financial statements and reports
  • Maintain ledgers, journals, and accounting records
  • Calculate taxes and prepare tax-related documents
  • Facilitate inventory management and invoicing

3.2 The Software is a tool for financial record-keeping and management only. It does not replace professional accounting services, certified audits, or qualified financial advice.

4. OFFLINE OPERATION & LOCAL DATA STORAGE

4.1 Versoll Books operates entirely offline on your local device.

4.2 All financial data, records, and files are stored locally on your device and are not transmitted to external servers.

4.3 Versoll does not have access to, store, or backup your financial data.

4.4 You are solely responsible for backing up your data and ensuring its security. Loss of data due to device failure, corruption, or user error is not the responsibility of Versoll.

5. USER RESPONSIBILITY & DATA ACCURACY

5.1 Users are solely responsible for:

  • The accuracy, completeness, and legality of all data entered
  • Ensuring compliance with applicable accounting standards and tax regulations
  • Regular data backups and disaster recovery planning
  • Verifying all calculations, reports, and financial statements before use
  • Protecting access credentials and preventing unauthorized use

5.2 Versoll does not validate the accuracy or legality of user-entered data and is not responsible for errors, omissions, or misrepresentations in financial records.

6. PRIVACY & DATA SECURITY

6.1 As an offline application, Versoll Books does not:

  • Collect or store personal or financial data on external servers
  • Transmit data over the internet
  • Track user behavior or analytics
  • Share data with third parties

6.2 Users acknowledge that device security (passwords, encryption, physical access) is their responsibility.

6.3 In the event of device theft, loss, or unauthorized access, Versoll is not liable for any data breach or misuse of information.

7. CALCULATIONS & FINANCIAL REPORTS DISCLAIMER

7.1 Tax calculations, financial summaries, and automated computations are based on predefined formulas and user-provided data.

7.2 Versoll does not guarantee:

  • Accuracy of tax calculations or compliance with current tax laws
  • Suitability for specific accounting standards (GAAP, IFRS, etc.)
  • Correctness of generated reports or financial statements
  • Acceptance by tax authorities or regulatory bodies

7.3 Users should consult with qualified accountants or tax professionals before making financial decisions or filing official documents.

8. LICENSE GRANT

8.1 Subject to these Terms, Versoll grants you a limited, non-exclusive, non-transferable, revocable license to install and use Versoll Books for your internal business purposes.

8.2 This license does not include the right to:

  • Resell, redistribute, or sublicense the Software
  • Modify, reverse engineer, or decompile the Software
  • Remove or alter any proprietary notices
  • Use the Software for service bureau or multi-tenant purposes

9. NO WARRANTY

9.1 The Software is provided on an "AS IS" and "AS AVAILABLE" basis.

9.2 Versoll expressly disclaims all warranties, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Accuracy, reliability, or completeness of calculations
  • Continuous, uninterrupted, or error-free operation
  • Compatibility with all devices or operating systems

10. LIMITATION OF LIABILITY

10.1 To the maximum extent permitted by law, Versoll shall not be liable for:

  • Direct or indirect financial losses
  • Business interruption or lost profits
  • Data loss, corruption, or unauthorized access
  • Tax penalties, fines, or legal consequences
  • Inaccurate financial reporting or accounting errors
  • Regulatory non-compliance arising from Software use

10.2 In no event shall Versoll's total liability exceed the amount (if any) paid by you to access or license the Software in the twelve (12) months preceding the claim.

11. USER CONDUCT

You agree not to:

  • Use the Software for unlawful, fraudulent, or deceptive purposes
  • Manipulate financial records to misrepresent business performance
  • Reverse engineer, decompile, or attempt to extract source code
  • Distribute, share, or resell the Software without authorization
  • Bypass any licensing or activation mechanisms
  • Use the Software to facilitate money laundering or tax evasion

12. INTELLECTUAL PROPERTY RIGHTS

12.1 All intellectual property related to Versoll Books, including:

  • Software code and architecture
  • User interface and design
  • Algorithms and calculation methods
  • Documentation and help materials
  • Branding, trademarks, and logos

are the exclusive property of Versoll.

12.2 No rights are granted except the limited license to use the Software as set forth in these Terms.

13. EXPORTS & GENERATED REPORTS

13.1 Reports, invoices, and financial statements generated by Versoll Books (PDF, Excel, CSV, etc.) are for your internal business use and professional purposes only.

13.2 You retain ownership of all data entered into the Software and all generated reports.

13.3 Versoll is not responsible for how exported reports are used, interpreted, shared, or submitted to regulatory authorities.

14. SOFTWARE UPDATES & MODIFICATIONS

14.1 Versoll reserves the right to:

  • Release updates, patches, and new versions
  • Modify or discontinue features
  • Change pricing or licensing terms
  • Update calculation methods and tax formulas

14.2 Updates may be provided at Versoll's discretion and are not guaranteed.

14.3 Versoll may update these Terms at any time. Continued use of the Software after such updates constitutes acceptance of the revised Terms.

15. TERMINATION OF LICENSE

15.1 Versoll may suspend or terminate your license if:

  • You violate any provision of these Terms
  • You engage in unlawful or fraudulent activity
  • Payment obligations are not met (if applicable)

15.2 Upon termination, you must cease all use of the Software and may be required to uninstall or delete it from your devices.

15.3 You may terminate your use of the Software at any time by uninstalling it. Termination does not entitle you to any refund.

16. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India.

Any disputes arising from or relating to these Terms or the use of Versoll Books shall be subject to the exclusive jurisdiction of courts located in India.

17. FORCE MAJEURE

Versoll shall not be liable for failure or delay in performance due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, power outages, cyber attacks, or telecommunications failures.

18. SEVERABILITY

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

19. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Versoll regarding the use of Versoll Books and supersede all prior agreements, understandings, and communications, whether written or oral.
